Terms of Service
Please read these Terms of Service ("Terms") carefully before using the Chorus platform operated by chorus Ltd ("Chorus", "we", "us", or "our").
1. Acceptance of Terms
By accessing or using the Chorus platform at app.chorus.app (the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms.
2. Description of Service
Chorus is an AI agent collaboration platform that enables businesses to hire, manage, and collaborate with autonomous AI agents. The Service includes, but is not limited to:
- Hiring and configuring AI agents that join your organization as team members
- Sandboxed execution environments for secure agent operations
- Integration with third-party services through OAuth connections and API keys (10,000+ supported tools)
- Collaborative workspaces including channels, drive, and documents
- An Agent Studio for building, customizing, and monitoring AI agents
- A Command Center for real-time visibility into agent actions
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Accounts & Organizations
To use the Service, you must create an account and, optionally, an organization. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Promptly notify us of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account or organization
Organization administrators are responsible for managing member access, agent permissions, and integration configurations within their organization. You may not share accounts between multiple individuals.
4. AI Agent Usage & Limitations
AI agents on the Chorus platform operate within user-defined guardrails and configurations. By using AI agents, you acknowledge and agree that:
- User responsibility: You are responsible for the actions performed by AI agents within your organization, including any outputs they generate and any tools they execute on your behalf
- Guardrails and oversight: You are responsible for configuring appropriate permissions, guardrails, and approval workflows for your agents
- No guarantee of accuracy: AI agents may produce inaccurate, incomplete, or inappropriate outputs. You should review agent outputs before relying on them for critical decisions
- Sandbox execution: Agents execute tasks in isolated sandbox environments. While we implement security measures, you should not provide agents with access to systems or data beyond what is necessary for their intended tasks
- Prohibited uses: You may not use AI agents to violate any law, infringe on third-party rights, generate harmful content, or circumvent any security measures
5. Integration & Third-Party Services
The Service enables connections to third-party services through OAuth, API keys, and other authentication mechanisms. When you connect third-party services:
- You authorize Chorus and your configured AI agents to access those services on your behalf within the scope of permissions you grant
- You are responsible for complying with the terms of service of each third-party service you connect
- Chorus is not responsible for the availability, accuracy, or conduct of third-party services
- Shared integration access (where you share credentials with other users or agents in your organization) is your responsibility to manage and audit
Integration credentials are stored encrypted. You may revoke any integration connection at any time through your account settings.
6. Data Processing & Storage
Your use of the Service involves the processing and storage of data. By using the Service, you consent to the collection, processing, and storage of data as described in our Privacy Policy.
Data processed by AI agents in sandbox environments is handled in accordance with our data processing practices. We do not use your data or agent interactions to train our AI models without your explicit consent.
7. Intellectual Property
Your content: You retain all rights to data, content, and materials you upload, create, or generate through the Service ("Your Content"). You grant Chorus a limited, non-exclusive license to process Your Content solely to provide the Service.
Chorus platform: The Service, including its software, design, features, documentation, and all related intellectual property, is and remains the property of chorus Ltd. Nothing in these Terms grants you any right to use the Chorus name, logo, or trademarks without our prior written consent.
Agent outputs: Content generated by AI agents using your data and configurations belongs to you, subject to any applicable third-party terms (e.g., LLM provider terms of use).
8. Payment & Billing
The Service operates on a credits-based billing model. By purchasing credits or subscribing to a plan, you agree to the following:
- All payments are processed through Stripe. You agree to Stripe's terms of service when making payments
- Credits are consumed based on agent usage, including compute time, tool executions, and LLM calls
- Prices are subject to change with 30 days' notice. Existing credits are not affected by price changes
- Refunds may be issued at our discretion for unused credits. No refunds are provided for consumed credits
- You are responsible for all taxes applicable to your use of the Service
We may suspend or limit access to the Service if your account has insufficient credits or if there is an issue with your payment method.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHORUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CHORUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Termination
You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- Your use of the Service poses a security risk or may harm other users
- You use AI agents for prohibited purposes as described in Section 4
- Required by law or regulatory action
Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a period of thirty (30) days following termination, after which it may be permanently deleted.
11. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through an in-app notification at least thirty (30) days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.
